Software license and service terms.
These terms explain how a client may use LAD OS, what the client owns, what Botli LLC retains, and what is included during the initial one-year service term.
License grant
Subject to payment and compliance with the agreement packet, Botli LLC grants the client a non-exclusive, non-transferable license to use the delivered LAD OS configuration and included Botli LLC materials for the client's own internal business operations on the designated system and any replacement system approved in writing.
Ownership
The client owns its hardware, business data, credentials, confidential information, client-specific content, and client-specific work product. Botli LLC retains all rights in LAD OS, reusable software, scripts, templates, libraries, documentation, methods, generalized workflow components, and improvements that do not contain the client's data, confidential information, or identifying business content.
License restrictions
The client may not resell, sublicense, publish, distribute, provide as a service, remove ownership notices from, or commercially exploit Botli LLC software or reusable components. The client may make reasonable backup copies for continuity and may permit employees and contractors to use the system solely for the client's internal business, subject to the same confidentiality and use restrictions.
Initial one-year service term
The initial service term lasts twelve months beginning on confirmed delivery of the system unless the signed order states otherwise. During that term, Botli LLC provides the support, onboarding, approved maintenance, and other services included in the selected package and written scope.
Use after the initial term
Unless the signed order states otherwise, the client may continue using the delivered version internally after the initial service term. The continuing-use license does not include new features, updates, new integrations, new workflow development, monitoring, maintenance, support, or continuing Botli LLC access.
Renewal
The client may renew service under a new written renewal order and the then-current fee. Renewal may include continued support, updates, optimization, approved new work, and renewed provider access. Renewal is not automatic unless the client separately agrees in writing to automatic renewal terms.
Workflow access and reusable improvements
During an active signed service term, and only through approved access methods and Provider-managed workflow directories identified in the project documents, Botli LLC may inspect, copy, download, test, and improve eligible technical workflow materials. This permission excludes client data, confidential information, credentials, personal information, emails, messages, customer or matter records, privileged material, attorney work product, regulated information, and client-identifying business content.
Botli LLC may retain and commercialize only sanitized reusable components and generalized improvements derived from eligible technical workflow materials. New access ends when the service term ends, access is revoked, or offboarding occurs. Rights in generalized improvements already lawfully obtained and sanitized survive.
Third-party software
Third-party products, open-source software, APIs, models, subscriptions, and services remain governed by their own licenses and terms. Botli LLC does not transfer ownership of third-party technology and is not responsible for third-party changes, outages, pricing, or discontinued access.
Suspension and termination
Botli LLC may suspend support or licensed use of Botli LLC materials for material nonpayment, unauthorized resale or distribution, infringement, misuse, or a material breach that is not cured after reasonable written notice when a cure is possible. Termination does not transfer ownership of Botli LLC software or reusable components.
Relationship to the order and other terms
The signed order, written scope, Terms of Service, Service Agreement and Release, Privacy Policy, Refund and Cancellation Policy, and these Software License and Service Terms form the complete agreement packet. A signed written order controls if it expressly conflicts with these general terms.
